Please read the following Terms of Use (hereinafter referred to as the “Terms of Use”) carefully.
By deciding to use the website (hereinafter referred to as the “Site”) of Scies Mercier Inc. (hereinafter referred to as “Scies Mercier”), the user (the end user or the organization you represent or work for, hereinafter referred to as the “User”) agrees to all the Terms of Use set forth below. These Terms of Use govern the content and operation of the Site, including Scies Mercier’s Privacy Policy.
These Terms of Use create a legally binding agreement between the User and Scies Mercier (hereinafter collectively referred to as the “Parties”). The Parties are entitled to invoke this agreement and to take any measures useful and necessary to enforce it.
The User acknowledges and agrees that Scies Mercier reserves the right, at any time and without prior notice, to modify, amend, or update the Terms of Use. The User’s continued use of the Site after such modification constitutes consent to comply with and be bound by the modified Terms of Use. While Scies Mercier will make reasonable efforts to inform users of any significant changes to the Terms of Use, it is your responsibility to review them regularly in order to remain informed of any updates. If the User does not agree with these Terms of Use or, as the case may be, with the modified Terms of Use from time to time, they must not use the Scies Mercier Site.
ACCESS AND USE OF THE SCIES MERCIER WEBSITE
By browsing the Site, you confirm that you have read, understood, and agreed to the Terms of Use of this agreement.
The Site is accessible from any device (computer, smartphone, tablet, etc.) and on all browsers. We recommend using Google Chrome or Firefox.
The Scies Mercier Site is accessible at all times. However, it may be temporarily unavailable due to updates or technical issues. Scies Mercier is not responsible for service interruptions or updates. Updates are performed during periods of lower traffic whenever possible.
Scies Mercier reserves the right to add, remove, or modify any content on the Site. Scies Mercier cannot be held responsible for errors, typographical mistakes, or bugs. If you report such issues, Scies Mercier will make every effort to promptly correct the situation.
Each User of the Site agrees, without limitation, not to:

use the platform in a manner that could damage, disable, overload, or impair the Site;

disrupt security or otherwise abuse the Site, or any services, system resources, servers, or networks connected to the Site, affiliated or linked sites, or sites accessible through them;

INTELLECTUAL PROPERTY
All intellectual property rights (trademarks, copyrights, etc.) (hereinafter “Intellectual Property”) related to the Site are the exclusive property of Scies Mercier, which operates it. You may not copy or use the materials, structure, menu, appearance, or features displayed on the Site without Scies Mercier’s explicit consent.
Certain names, words, titles, expressions, logos, icons, graphics, designs, domain names, or other content on the Site may be trademarks, service marks, or trade names, registered or unregistered (collectively referred to as “Trademarks”). These Trademarks are protected under applicable Canadian and foreign trademark laws and are the exclusive property of Garant Machinerie, except for trademarks, logos, and materials belonging to clients displayed in the “Projects” section of the Site.
Without limitation, Scies Mercier’s Intellectual Property includes, but is not limited to:

All logos, designs, graphics, marks (registered or not), symbols, texts, expressions, words, as well as all general content of the Site.

All information provided on the Site, which belongs to Scies Mercier and is protected under applicable laws. Unless otherwise indicated, the information may not be copied, displayed, distributed, downloaded, licensed, modified, published, reused, sold, transmitted, or used for derivative works, public, or commercial purposes without Scies Mercier’s prior written consent.
You may use the information exclusively for your personal, non-commercial use, provided that copyright notices and trademark attributions remain intact. These Terms grant you a limited license to view, display on your computer or phone, download, and print the text and images presented on the Site solely for personal, educational, and non-commercial purposes, provided that no modifications are made. This authorization is personal and non-transferable.
Unauthorized downloading, retransmission, copying, or modification of Trademarks or data from the Site may violate federal laws or other laws relating to trademarks or copyrights and may expose the User to legal proceedings.
EXTERNAL LINKS
By following a hyperlink, you may leave the Site and access websites and content of other clients (hereinafter “External Websites”). Scies Mercier provides these links solely for user information. Scies Mercier has no control over the content of External Websites and assumes no responsibility for their accuracy, completeness, authenticity, timeliness, or fitness for a particular purpose.
Scies Mercier disclaims all liability, in particular for direct or indirect damages or consequences related to the use of content from External Websites. Responsibility for the content of such External Websites lies solely with their operators.
Scies Mercier does not guarantee that External Websites or their content do not infringe on copyright, trademarks, or third-party rights, nor that they are free of viruses or other harmful components.
DISCLAIMER, WARRANTY EXCLUSION, AND INDEMNIFICATION
Scies Mercier does not guarantee the accuracy, completeness, quality, suitability, or content of the information available on the Site. This information is provided “as is,” without warranty or condition of any kind, express or implied, including, without limitation, implied warranties of merchantability and fitness for a particular purpose, except where such exclusions are prohibited by law.
Scies Mercier is not responsible for content posted on the Site by Users and any resulting damages. Each User is responsible for the content they share and must not use the Site for purposes contrary to applicable laws in Quebec or Canada.
Scies Mercier cannot be held liable for any direct, indirect, special, incidental, consequential, or other damages whatsoever, including but not limited to loss of revenue, profits, or expected economic benefits, arising from the use or inability to use the Site or its information, documents, and software, even if Scies Mercier was advised of the possibility of such damages.
As a User, you agree to indemnify and hold harmless Scies Mercier, its directors, and employees from all claims, liabilities, losses, and expenses (including legal fees) related to your use of the Site and/or violation of these Terms of Use, whether by you or a third party using your account.
GOVERNING LAW AND JURISDICTION
The Site and its content are managed by Scies Mercier from its offices in the Province of Quebec, Canada. The Site, its content, these Terms of Use, and your use of the Site are governed by the laws of Quebec and Canada applicable therein, without regard to conflict of law principles.
You agree that all matters and disputes concerning the Site and your use thereof shall be exclusively resolved by the courts of the Province of Quebec.
If any provision of these Terms of Use is found to be invalid or unenforceable by a court, such invalidity shall not affect the remaining provisions.
MODIFICATION OF THESE TERMS
Scies Mercier reserves the right to modify or supplement these Terms of Use at any time, at its sole discretion. Any significant modification will be published in this document and communicated to you by email.
Users are encouraged to review the latest version of the Terms of Use. If you object to any modifications, you must cease using the Site. Continued use of the Site after the new Terms of Use come into effect constitutes acceptance.
